TERMS AND CONDITIONS OF USE

These Terms constitute a binding and enforceable legal contract between MobiApp ("MobiApp") and a User (as defined below) or any end user of the Services (collectively, “you”). By accessing or using the Application, you represent and warrant that you:

• Have full legal capacity and authority to agree and bind yourself to these Terms
• Are at least 18 (eighteen) years of age or older
• If representing an entity, organization, or other legal person, have the necessary power and authority to bind such entity to these Terms

By agreeing to these Terms, you confirm and represent that you have a complete understanding of this legal contract. These Terms incorporate MobiApp’s Privacy Policy (available at themobiapp.com ) and any additional guidelines, supplementary terms, or policies issued by MobiApp from time to time.

By continuing to access or use the Application or any Service provided on the Application, you signify your acceptance of these Terms. MobiApp reserves the right to make changes to these Terms by posting an updated version, and your continued use of the Application shall indicate your agreement to such changes. You are encouraged to regularly review these Terms to stay informed of any updates. If you do not agree with these Terms or comply with the requirements herein, please refrain from using the Application or Services.

SERVICES

MobiApp provides a digital platform designed to record, manage, and maintain ledger and transaction information for its users (“Users”). The Services include, but are not limited to, a digital ledger book/record book where Users can record their transactions and other business data. Future services proposed by MobiApp will also form part of the Services under these Terms.

TRANSACTION INFORMATION

Users may upload information relating to their transactions (“Transaction Information”) on the Application, including details of goods or services, amounts paid and payable, and customer information. By using the Application to record Transaction Information, Users must:

• Notify customers about the use of the Application to record their Transaction Information and seek their express consent for:
• The creation of a customer profile on the Application, which involves sharing the customer’s contact details with MobiApp.
• Receiving communications regarding:
• (a) Information about their transactions recorded on the Application.
• (b) Payment requests.
• (c) Promotional offers and updates from MobiApp or its partners.
• (d) Any other relevant matters related to the Services.
• Immediately cease using the Services for a customer if consent is not provided or withdrawn by the customer.Users are solely responsible for obtaining consent from their customers. By providing Transaction Information to the Application, MobiApp assumes that such consent has been obtained by the User.

THIRD-PARTY SERVICES

The Services may include content, services, or links to third-party services (“Third-Party Services”). These Third-Party Services are the sole responsibility of their providers. MobiApp disclaims any liability for the accuracy, completeness, or reliability of Third-Party Services and assumes no responsibility for any risks arising from your use of such services. Intellectual property rights related to Third-Party Services remain the property of their respective owners.

USER RESPONSIBILITIES

You agree and warrant that all information provided through the Services is accurate, complete, and current. MobiApp disclaims liability for any loss or damage arising from the submission of inaccurate, incomplete, or misleading information. Users are responsible for compliance with applicable laws and for safeguarding their Transaction Information by independently backing up data regularly. Users agree not to:

• Infringe upon third-party intellectual property rights.
• Use the Services to distribute harmful programs or unauthorized automated tools.
• Engage in activities that violate applicable laws.

Failure to adhere to these responsibilities may result in the suspension or termination of your access to the Services.

INTELLECTUAL PROPERTY

All intellectual property rights related to the Application and Services belong to MobiApp or are lawfully licensed to it. Subject to your compliance with these Terms, MobiApp grants you a limited, non-exclusive, revocable license to use the Application for personal or business purposes. Except as expressly authorized, you may not copy, reproduce, distribute, or modify any part of the Application or Services. Unauthorized use of MobiApp’s intellectual property may result in legal consequences.

TERM AND TERMINATION

These Terms remain effective unless terminated by either party. MobiApp reserves the right to terminate or suspend your access to the Services at its discretion, including for violations of these Terms. Provisions that are intended to survive termination shall remain in effect.

DISCLAIMERS AND WARRANTIES

The Services are provided on an “as is” and “as available” basis without any warranties, express or implied. MobiApp disclaims all liability for:

• Service interruptions or errors.
• Loss of data or unauthorized access.
• Any indirect, incidental, or consequential damages arising from your use of the Services.

You acknowledge that MobiApp is not a financial institution or intermediary and does not engage in activities requiring regulatory approval under applicable laws.

CONSENT TO USE DATA

By using the Services, you consent to MobiApp collecting and using your information in accordance with its Privacy Policy. MobiApp may disclose your information to law enforcement or regulatory agencies as required by law.

FEES/CHARGES

MobiApp reserves the right to charge fees for its Services. Non-payment of applicable fees may result in the suspension or denial of access to the Services.

MODIFICATION OF SERVICES

MobiApp may modify or discontinue the Services at its sole discretion, with or without notice. MobiApp is not liable for any changes, interruptions, or termination of the Services.

MISCELLANEOUS PROVISIONS

Modifications to Terms: MobiApp reserves the right to modify these Terms. Continued use of the Services after modifications constitutes acceptance of the updated Terms.

Severability: If any provision of these Terms is deemed unlawful or unenforceable, the remaining provisions shall remain in effect.

Assignment: Users may not transfer their rights or obligations under these Terms without MobiApp’s prior written consent. MobiApp may assign its rights and obligations without prior notice.

Third-Party Rights: No third party has any rights to enforce these Terms.
